技術(shù)進(jìn)出口貿(mào)易，專利技術(shù)出口合同登記證辦理

一、技術(shù)進(jìn)出口合同登記

依據(jù)《中華人民共和國技術(shù)進(jìn)出口管理條例》，對屬于自由類（不在國家《禁止進(jìn)口限制進(jìn)口技術(shù)目錄》和《禁止出口限制出口技術(shù)目錄》內(nèi)）的技術(shù)的進(jìn)出口，實行合同登記管理。

二、技術(shù)進(jìn)出口

技術(shù)進(jìn)出口是指從中國境外向中國境內(nèi)，或者從中國境內(nèi)向中國境外，通過貿(mào)易、投資或者經(jīng)濟技術(shù)合作的方式轉(zhuǎn)移技術(shù)的行為。技術(shù)進(jìn)出口包括權(quán)轉(zhuǎn)讓、申請權(quán)轉(zhuǎn)讓、實施許可、技術(shù)秘密轉(zhuǎn)讓、技術(shù)服務(wù)和其他方式的技術(shù)轉(zhuǎn)移。

三、技術(shù)進(jìn)出口合同登記的時間

技術(shù)進(jìn)出口經(jīng)營者應(yīng)在合同生效后60天內(nèi)辦理合同登記手續(xù)。支付方式為提成的合同，技術(shù)進(jìn)出口經(jīng)營者應(yīng)在提成基準(zhǔn)金額形成后60天內(nèi)，履行合同登記手續(xù)，并在以后每次提成基準(zhǔn)金額形成后，辦理合同變更手續(xù)。

四、技術(shù)進(jìn)出口合同許可證辦理需提交的材料：

1、技術(shù)進(jìn)（出）口合同申請表和技術(shù)進(jìn)（出）口合同數(shù)據(jù)表；

2、技術(shù)進(jìn)（出）口合同副本（外文合同需提供中文譯本）；

3、簽約雙方法律地位證明文件。即中方企業(yè)的營業(yè)執(zhí)照、進(jìn)出口資格證書（外資企業(yè)為《外商投資企業(yè)批準(zhǔn)證書》、內(nèi)資企業(yè)為《對外貿(mào)易經(jīng)營者備案登記表》）、外方法律地位證明文件。

4、項目批復(fù)文件（主管部門立項批復(fù)或董事會決議或總經(jīng)理辦公會決議）；

5、其他相關(guān)材料。

1、 Registration of technology import and export contracts

According to the Regulations of the People's Republic of China on the Administration of Technology Import and Export, contract registration management shall be implemented for the import and export of technologies that belong to the category of freedom (not included in the national Catalogue of Technologies Prohibited from Import or Restricted from Import and Catalogue of Technologies Prohibited from Export or Restricted from Export).

2、 Technology import and export

Technology import and export refers to the act of transferring technology from outside China to within China, or from within China to outside China, through trade, investment, or economic and technological cooperation. Technology import and export include transfer of rights, transfer of application rights, implementation of licenses, transfer of technology secrets, technology services, and other forms of technology transfer.

3、 Registration time of technology import and export contract

The technology import and export operator shall complete the contract registration procedures within 60 days after the contract takes effect. For contracts with a commission payment method, the technology import and export operator shall complete the contract registration procedures within 60 days after the formation of the commission benchmark amount, and handle the contract amendment procedures after each commission benchmark amount is formed in the future.

4、 Materials to be submitted for the application of technology import and export contract license:

1. Application form for technology import (export) contract and data sheet for technology import (export) contract;

2. Copy of technology import (export) contract (Chinese translation required for foreign language contracts);

3. Proof of legal status of both parties signing the contract. The business license, import and export qualification certificate of the Chinese enterprise (for foreign-funded enterprises, the "Approval Certificate for Foreign Investment Enterprises", and for domestic enterprises, the "Registration Form for Foreign Trade Operators"), and the legal status certificate of the foreign party.

4. Project approval documents (project approval from the competent department, board resolution, or general manager's office resolution);
